News Corp. Shareholders Pass Poison Pill Peter Kang, 10.20.06, 4:07 PM ET Shares of News Corp. fell slightly in Friday afternoon trading after shareholders approved Rupert Murdoch's poison pill anti-takeover strategy. The measure was approved by the media giant's shareholders by a slim margin of 57% and will help fend off further attempts by Liberty Media (nasdaq: LCAPA - news - people ) chairman John Malone to increase his 19% stake in the company. The poison pill plan was originally enacted in 2004 after Malone unexpectedly increased his stake almost double following News Corp.'s reincorporation in the United States. The Murdoch family owns 31% of News Corp. (nyse: NWS - news - people ). In an Oct. 18 research report, Credit Suisse analyst Jolanta Masojada said a potential asset swap of News Corp.'s stake in DirecTV (nyse: DTV - news - people ) for Liberty Media's News Corp. holdings "looks increasingly likely, particularly as it solves Liberty's reinvestment problem." The Credit Suisse analyst said such a transaction could boost News Corp.'s 2007 earnings by approximately 6%.
